GKH is the leader in Israel in representing targets of U.S. SEC enforcement proceedings, white-collar securities defense and internal {investigations}{. We advise and counsel clients on the duties of officers and directors of public and privately owned companies, accounting and auditing issues, Sarbanes Oxley and disclosure responsibilities. We are frequently retained by Israeli companies, which have securities registered with the SEC and are listed on exchanges in the United States, to conduct internal investigations that arise in the course of corporate activity, financial restatements, PCAOB audits and SEC enforcement actions}.

The Corporate Governance team of lawyers includes experienced {U.S. securities lawyers}{ , including former SEC enforcement division attorneys. Our attorneys have served as independent counsel to audit committees and special investigative committees of boards of directors in connection with financial restatements, options backdating, and foreign corrupt practices violations. • Represent a named defendant in money laundering and tax fraud case in the United States.
• Represent a named defendant in a PCAOB enforcement action.
• Appointed special outside counsel to employees of a major technology company in connection with internal investigations into options backdating and other financial matters.
• Appointed independent outside counsel to the audit committee of a company in its options backdating investigation, and reported results to the SEC, resulting in no-action taken by the SEC.
• Appointed independent outside counsel to the audit committee of a Nasdaq/TASE dual listed company in connection with a financial restatement resulting from a PCAOB audit of the company's auditors in Israel.
